These Terms of Use and Sale (“Terms”) govern your access to and use of www.aposkincare.com, any page that links to these Terms, and your purchase of APO products. The site and products are operated and sold by Superfresh Group Inc., d.b.a. APO Skincare.

By accessing the site, submitting an order, or otherwise using our services, you agree to these Terms and acknowledge our Privacy Policy and Shipping & Returns Policy. If you do not agree, do not use the site or place an order.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to place an order. By purchasing, you represent that the information you provide is accurate and that you are authorized to use the selected payment method.

We currently sell and ship only within the 50 United States and the District of Columbia.

2. Product information and cosmetic-use notice

We aim to describe and display our products accurately. Packaging, color, texture, appearance, and other details may vary slightly from photographs or between batches. We may correct errors or update product information at any time.

APO products are intended for external cosmetic use only. They are not intended to diagnose, treat, cure, or prevent disease, and content on the site is not medical advice. Review the ingredient list and product warnings before use. If you have allergies, sensitive skin, a medical condition, are pregnant or nursing, or have questions about whether a product is appropriate for you, consult a qualified healthcare professional. Consider patch testing before first use, avoid contact with eyes, keep products out of reach of children, and discontinue use if irritation occurs.

Any results described on the site are illustrative and are not guaranteed. Individual results depend on many factors.

3. Prices, currency, and taxes

All prices are displayed and charged in U.S. dollars unless we clearly state otherwise. Prices, promotions, product sizes, and availability may change without notice. Applicable shipping charges and taxes are shown before you submit your order. You are responsible for charges associated with the order that are disclosed at checkout.

If a price, description, promotion, or availability statement contains an obvious error, we may correct it and may cancel or adjust an affected order before shipment. If we cancel an order after payment, we will refund the amount charged for the canceled portion.

4. Orders and acceptance

An order confirmation means that we received your order; it does not guarantee acceptance. We may accept, reject, limit, or cancel an order for legitimate reasons, including product unavailability, pricing or description errors, suspected fraud, payment authorization issues, violation of these Terms, or suspected commercial resale.

Your purchase is accepted when we send a shipment confirmation or otherwise expressly confirm fulfillment. We may limit quantities per customer, household, payment method, or address. Products are sold for personal use and not for unauthorized resale.

You are responsible for providing a complete and accurate email address and delivery address. Please contact support@aposkincare.com immediately if you discover an error. We cannot guarantee changes or cancellations after processing begins.

5. Payments and payment security

We use Stripe to process payments. When you check out, your payment details are collected and processed through Stripe’s secure payment environment and are subject to Stripe’s Privacy Policy. APO receives transaction details needed to fulfill and support your order but does not store your full card number or card security code on APO-controlled servers.

Our payment flow uses encrypted HTTPS connections and is designed to meet the Payment Card Industry Data Security Standard (“PCI DSS”) responsibilities that apply to our Stripe integration. We use reasonable administrative, technical, and organizational safeguards and monitor transactions for suspected fraud and card-testing activity. No online system can be guaranteed completely secure.

You authorize us and Stripe to charge the amount shown at checkout to your selected payment method. If your payment is declined or reversed, we may suspend or cancel the order.

All purchases currently offered by APO are one-time purchases. We do not currently offer automatically renewing subscriptions and will not initiate recurring charges without your express agreement to clearly disclosed recurring terms.

6. Shipping, delivery, cancellations, and returns

Shipping destinations, processing times, delivery estimates, tracking, cancellations, returns, exchanges, and refunds are governed by our Shipping & Returns Policy, which is incorporated into these Terms.

Delivery dates are estimates, not guarantees. Carrier delays, severe weather, service interruptions, or other events outside our reasonable control may affect delivery.

7. Promotions

Promotions, discount codes, gifts, giveaways, or other offers may have additional terms presented with the offer. Unless the offer states otherwise, promotions are limited to the stated period, cannot be combined, have no cash value, and are subject to product availability. We may refuse or cancel use that is fraudulent, abusive, or inconsistent with the offer terms. If offer-specific terms conflict with these Terms, the offer-specific terms control for that offer.

8. Site content and intellectual property

The site and its contents—including text, product names, logos, graphics, photographs, videos, designs, software, and the selection and arrangement of those materials—are owned by or licensed to APO and are protected by intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the site for personal, noncommercial shopping and informational purposes. Except as permitted by law or with our prior written consent, you may not copy, reproduce, distribute, modify, publish, display, create derivative works from, scrape, frame, reverse engineer, sell, license, or commercially exploit the site or its content.

“APO Skincare,” our logos, product names, and related branding may be trademarks of APO or its licensors. No license to use them is granted except as expressly stated.

9. Prohibited conduct

You may not:

• use the site for an unlawful, fraudulent, abusive, or deceptive purpose;
• interfere with the operation, security, or availability of the site;
• introduce malware or attempt unauthorized access to any system or data;
• use bots, scripts, or automated means to place orders, test cards, scrape content, or overwhelm the site;
• submit false contact, delivery, billing, or payment information;
• impersonate another person or misrepresent your affiliation;
• infringe the rights of APO or another person; or
• purchase products for unauthorized commercial resale.

We may restrict access, cancel orders, or take other reasonable action if we believe these Terms have been violated.

10. Third-party services and links

The site may link to or rely on services operated by third parties, including payment, hosting, delivery, and communication providers. Third parties operate under their own terms and privacy practices. A link does not imply endorsement, and we are not responsible for third-party sites or services outside our control.

11. Feedback and reviews

If you voluntarily send us ideas, suggestions, or feedback, you grant APO a worldwide, perpetual, irrevocable, royalty-free right to use and adapt that feedback for any lawful purpose without compensation or obligation to you. This does not transfer ownership of personal information, which remains governed by our Privacy Policy.

You may submit a product review through our site. Reviews submitted from the link we email after an order are labeled as verified purchases. Reviews must reflect your genuine experience with the product; you must disclose if you received a free product, payment, or sweepstakes entry for your review; and reviews must not include unlawful, abusive, or misleading content or other people’s personal information. Photos must be your own and must not show other people without their permission. By submitting a review, you grant APO a non-exclusive, worldwide, royalty-free license to display, reproduce, and share it, including any photos, with your first name and location, on our site and in connection with APO products, including in search results. We publish genuine reviews whether positive or negative, and may decline or remove reviews that violate these Terms. To ask us to remove your review, contact support@aposkincare.com.

12. Privacy

Our collection and use of personal information are described in our Privacy Policy. By using the site, you acknowledge that policy.

13. Disclaimers

To the fullest extent permitted by law, the site and its content are provided “as is” and “as available.” APO disclaims implied warranties relating to the site, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Nothing in these Terms excludes any express product warranty we provide in writing or any warranty or consumer right that cannot legally be excluded. Some jurisdictions do not permit certain disclaimers, so portions of this section may not apply to you.

14. Limitation of liability

To the fullest extent permitted by law, APO and its officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from your use of the site or purchase of products.

To the fullest extent permitted by law, APO’s aggregate liability for a claim relating to a product purchase will not exceed the amount you paid for the product giving rise to the claim, and APO’s aggregate liability for any other claim will not exceed 100 U.S. dollars.

These limitations do not apply to liability that cannot legally be limited, including liability arising from fraud, willful misconduct, or personal injury to the extent applicable law prohibits limitation.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless APO and its officers, directors, employees, and agents from third-party claims, liabilities, damages, and reasonable costs arising from your unlawful misuse of the site, unauthorized resale, violation of these Terms, or infringement of another person’s rights.

16. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules, except that applicable consumer-protection laws may provide you with additional rights.

Before filing a legal claim, please contact legal@aposkincare.com so we can try to resolve the matter informally. Unless applicable law requires otherwise, any court proceeding relating to these Terms or an APO purchase must be brought in the state or federal courts located in New York County, New York, and each party consents to those courts’ jurisdiction.

17. Changes to these Terms

We may update these Terms to reflect changes in our practices, products, or legal obligations. The revised Terms will be posted with a new effective date. Changes apply prospectively unless the law permits otherwise. Your continued use of the site after the effective date means you accept the revised Terms.

18. General terms

If a provision of these Terms is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, financing, reorganization, sale of assets, or transfer of the business. These Terms, together with policies and offer terms incorporated by reference, form the entire agreement between you and APO regarding the site and purchases.
